These Terms of Use (“Terms”) govern your access to and use of the Bison Capital Group investor portal hosted on the Agora platform (the “Portal”). By accessing or using the Portal, you agree to be bound by these Terms. If you do not agree, you may not access or use the Portal.

1. About Bison Capital Group

Bison Capital Group (“Bison,” “we,” “our,” or “us”) is a registered investment adviser (“RIA”) with the U.S. Securities and Exchange Commission. Bison is organized and headquartered in the State of Oklahoma.

The Portal is made available for the benefit of current and prospective investors (“you” or “Users”) in connection with investment offerings sponsored or advised by Bison and its affiliated entities.

2. Purpose of the Portal

The Portal is provided to allow Users to:

  • Access investment‑related information, reports, and documents
  • Review and receive regulatory and offering disclosures
  • Submit confidential and financial information
  • Execute subscription agreements and related legal documents electronically
  • View account, ownership, capital activity, and distribution information

Use of the Portal does not by itself create an advisory relationship, fiduciary relationship, or investment obligation unless and until formal agreements are executed and accepted by Bison.

3. Eligibility and Account Access

You represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding agreements
  • All information you provide through the Portal is accurate, complete, and current

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. You agree to notify us immediately of any unauthorized access or suspected breach of security.

4. Confidentiality and Data Security

4.1 Confidential Information

In connection with your use of the Portal, you may provide or access nonpublic personal information, including banking information, tax records, and investment data.

Bison maintains administrative, technical, and physical safeguards designed to protect confidential information in accordance with applicable federal and state privacy laws, including the Gramm‑Leach‑Bliley Act and SEC Regulation S‑P. 

4.2 Acknowledgment of Risk

While Bison uses commercially reasonable security measures, no electronic system is completely secure. By using the Portal, you acknowledge and accept the inherent risks of electronic data transmission and storage.

5. Electronic Communications and Signatures

By using the Portal, you consent to:

  • Electronic delivery of disclosures, reports, notices, and agreements
  • Use of electronic records and electronic signatures in lieu of paper

You agree that electronic signatures executed through the Portal are legally binding to the same extent as handwritten signatures, in accordance with applicable law.

6. Investment Offerings and No Guarantee of Performance

Investment offerings available through the Portal may be registered or exempt under federal and state securities laws and may involve entities formed under the laws of Oklahoma, Delaware, Texas, or other jurisdictions.

Investments involve risk, including possible loss of principal. Past performance is not indicative of future results. Nothing in the Portal constitutes a guarantee of returns or investment outcomes.

7. User Obligations

You agree not to:

  • Provide false or misleading information
  • Attempt to gain unauthorized access to the Portal or its systems
  • Interfere with the operation or security of the Portal
  • Use the Portal for unlawful or unauthorized purposes

You are solely responsible for determining whether any investment is appropriate for your financial situation.

8. Intellectual Property

All content on the Portal, including text, documents, trademarks, and logos, is owned by or licensed to Bison or its affiliates and is protected by intellectual property laws.

You may access and use Portal materials solely for your personal, non‑commercial investment purposes.

9. Third‑Party Platforms and Services

The Portal is hosted on the Agora platform, a third‑party service provider. Bison is not responsible for interruptions, outages, or technical failures beyond its reasonable control, including those attributable to third‑party service providers.

10. Limitation of Liability

To the fullest extent permitted by law, Bison shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Portal, including reliance on information made available therein.

Nothing in these Terms limits liability where such limitation is prohibited by applicable securities or consumer protection laws.

11. Indemnification

You agree to indemnify and hold harmless Bison and its affiliates from any claims, losses, or damages arising from your violation of these Terms or your misuse of the Portal.

12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to conflicts‑of‑law principles. Any legal action arising out of these Terms shall be brought exclusively in state or federal courts located in Oklahoma, unless otherwise required by applicable securities laws.

13. Updates to These Terms

We may update these Terms from time to time. Continued use of the Portal after updates are posted constitutes acceptance of the revised Terms.
